Karobar Solution Software-as-a-Service (SaaS) Agreement
Welcome to Karobar Solution. These Terms of Service ("Terms" or "Agreement") govern your access to and use of Karobar Solution, including its Point of Sale (POS) systems, inventory management modules, reporting tools, synchronization services, websites, mobile applications, desktop applications, and related software products (collectively, the "Service").
By accessing, installing, registering for, subscribing to, or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Service.
1. License Grant and Permitted Use
Subject to compliance with these Terms and payment of all applicable fees, Karobar Solution grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for lawful internal business operations.
The User shall not:
- Copy, reproduce, distribute, or resell the Service.
- Reverse engineer, decompile, disassemble, or attempt to derive source code.
- Bypass licensing, authentication, or security mechanisms.
- Use the Service for unlawful, fraudulent, or unauthorized purposes.
- Interfere with system integrity, performance, or availability.
All rights not expressly granted remain the exclusive property of Karobar Solution.
2. Account Registration and Security
Users must provide accurate, complete, and current information during registration.
The User is solely responsible for:
- Maintaining account confidentiality.
- Protecting login credentials.
- Activities conducted through the account.
- Ensuring authorized access to business data.
Karobar Solution reserves the right to suspend, restrict, or terminate accounts that violate these Terms or present security risks to the platform.
3. Subscription, Billing and Renewal
3.1 Subscription Plans
The Service is offered on recurring subscription plans, including monthly, annual, enterprise, or custom agreements.
3.2 Payment Obligations
All subscription fees must be paid in advance unless otherwise agreed in writing. Except where required by applicable law or expressly stated otherwise, fees paid are non-refundable.
3.3 Service Suspension
Failure to pay renewal fees may result in:
- Restricted access to platform features.
- Suspension of billing operations.
- Limitation of inventory management tools.
- Temporary account deactivation.
Access may be restored after settlement of outstanding payments.
3.4 Legacy Lifetime Licenses
Any historical lifetime licenses shall continue to provide access to the version and feature set originally purchased. Future premium services, cloud infrastructure, enterprise integrations, advanced synchronization technologies, artificial intelligence features, enhanced reporting modules, or other newly released services may require separate subscriptions, upgrade fees, or licensing arrangements.
4. Data Protection and Privacy
Karobar Solution implements commercially reasonable administrative, technical, and organizational safeguards designed to protect customer information from unauthorized access, misuse, disclosure, alteration, or destruction.
While reasonable security measures are maintained, no electronic storage system or internet transmission method can guarantee absolute security. Users acknowledge and accept the inherent risks associated with electronic communications and cloud-based technologies.
Use of the Service may also be subject to a separate Privacy Policy issued by Karobar Solution.
5. Limitation of Liability
To the maximum extent permitted under applicable law, Karobar Solution, its owners, directors, employees, contractors, affiliates, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to:
- Loss of profits or revenue, or business opportunities.
- Inventory discrepancies, data loss or corruption.
- Billing inaccuracies or tax calculation discrepancies.
- Synchronization failures, service interruptions, hardware incompatibility, or network failures.
The total aggregate liability of Karobar Solution arising out of any claim shall not exceed the subscription fees actually paid by the User during the thirty (30) days immediately preceding the event giving rise to such claim.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, willful misconduct, or gross negligence.
6. Warranty Disclaimer
The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis.
Karobar Solution expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of Merchantability, Fitness for a particular purpose, Non-infringement, Accuracy, Availability, and Uninterrupted operation.
Users acknowledge that software systems may contain bugs, defects, interruptions, or unforeseen technical limitations despite ongoing maintenance and testing.
7. User Responsibilities
The User remains solely responsible for:
- Verifying inventory records and confirming financial reports.
- Reviewing generated invoices and validating tax calculations.
- Maintaining business compliance obligations and keeping independent backups where necessary.
Karobar Solution shall not be responsible for losses resulting from incorrect user input, unauthorized account access, hardware failures, or third-party system failures.
8. Indemnification
The User agrees to defend, indemnify, and hold harmless Karobar Solution, its owners, employees, contractors, affiliates, licensors, and partners from and against any claims, liabilities, damages, losses, penalties, costs, expenses, or legal fees arising out of:
- Violation of these Terms, applicable laws, or misuse of the Service.
- Fraudulent or unlawful business activities.
- User-generated content or records, or tax/regulatory non-compliance.
9. Software Updates and Modifications
Karobar Solution reserves the right to release updates, improve or discontinue features, modify technical specifications, and update these Terms of Service. Material changes to these Terms shall be communicated through reasonable communication channels at least fourteen (14) days before becoming effective. Continued use of the Service constitutes acceptance of the revised Terms.
10. Intellectual Property Rights
All software, source code, trademarks, logos, designs, databases, interfaces, documentation, and related intellectual property rights remain the exclusive property of Karobar Solution. Nothing contained in these Terms transfers ownership rights to any User.
11. Taxes
Unless expressly stated otherwise, all fees are exclusive of applicable federal, provincial, sales, value-added, withholding, or other taxes imposed by governmental authorities. The User shall be responsible for payment of all applicable taxes associated with use of the Service.
12. Force Majeure
Karobar Solution shall not be liable for any delay, interruption, or failure in performance caused by circumstances beyond its reasonable control, including but not limited to Natural disasters, War, Government actions, Internet shutdowns, Cyberattacks, and Infrastructure failures. Affected obligations shall be suspended for the duration of the event.
13. Termination
Karobar Solution may suspend or terminate access to the Service immediately if the User violates these Terms, fraudulent activity is detected, payment obligations remain outstanding, or continued access threatens platform security or stability. Upon termination, all licenses granted under these Terms shall automatically cease.
14. Governing Law and Jurisdiction
This Agreement shall be governed and construed in accordance with the laws of the Islamic Republic of Pakistan, including applicable provisions of the Contract Act 1872, Electronic Transactions Ordinance 2002, Prevention of Electronic Crimes Act 2016, and other relevant laws. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Rawalpindi, Pakistan.
15. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
